AB566,447 Section 447. 181.0402 (1) (title) of the statutes is repealed.

AB566,448 Section 448. 181.0402 (1) of the statutes is amended to read:

AB566,285,12 181.0402 (1) A person may reserve the exclusive use of a corporate name, including a fictitious name for a foreign corporation whose corporate name is not available, by delivering an application to the department for filing or by making a telephone application. The application shall include the name and address of the applicant and the name proposed to be reserved. If the department finds that the corporate name applied for under this subsection is available, the department shall reserve the name for the applicant's exclusive use for a 120-day period, which may be renewed by the applicant or a transferee under sub. (2) from time to time.

AB566,450 Section 450. 181.0402 (2) of the statutes is amended to read:

(1) may transfer the reservation to another person by delivering to the department a written and signed notice in a record of the transfer that states the name and address of the transferee person to which the reservation is being transferred.

(b).

AB566,286,10 181.0403 (1) (b) To register its name or a fictitious name adopted pursuant to s. 181.1506 (1), a foreign corporation must deliver to the department for filing an application stating the foreign corporation's name, the jurisdiction and the date of its formation, and any fictitious name adopted pursuant to s. 181.1506 (1). If the department finds that the name applied for is available, the department shall register the name for the applicant's exclusive use.

AB566,463 Section 463. 181.0501 (3) of the statutes is renumbered 181.0501 (2m) (c) and amended to read:

AB566,291,12 (5) When a statement of resignation takes effect, the registered agent ceases to have responsibility under this chapter for any matter thereafter tendered to it as agent for the corporation. The resignation does not affect any contractual rights the corporation has against the agent or that the agent has against the corporation.

AB566,291,24 181.0504 (1) A corporation's registered agent is the corporation's agent for service of corporation may be served with any process, notice, or demand required or permitted by law to be served on the corporation by serving its registered agent. The department may serve any written notice required or authorized under this chapter by e-mailing it to the registered agent's e-mail address on file with the department, and such notice shall be effective as provided in s. 181.0105 (4).

(3), if a corporation has no registered agent, or the its registered agent cannot with reasonable diligence be served, the corporation may be served by registered or certified mail, return receipt requested, or by similar commercial delivery service, addressed to the corporation at its principal office, as shown on the records of the department on the date of sending. Service is perfected under this subsection at the earliest of the following:

AB566,292,10 (a) The date on which the corporation receives the mail or delivery by commercial delivery service.

AB566,292,13 (c) Five days after its deposit it is deposited in the U.S. mail, if mailed postpaid and correctly addressed or with the commercial delivery service, if correctly addressed and with sufficient postage or payment.

AB566,488 Section 488. 181.0504 (3) of the statutes is amended to read:

AB566,292,24 181.0504 (3) Except as provided in s. 181.1421 (2) (b), if If process, notice, or demand in an action cannot be served on a corporation pursuant to sub. (1) or (2), service may be made by handing a copy to the individual in charge of any regular place of business or activity of the corporation if the individual served is not a plaintiff in the action. If the address of the corporation's principal office cannot be determined from the records held by of the department, the corporation may be served by publishing a class 3 notice, under ch. 985, in the community where the corporation's principal office or registered office, as most recently designated in the records of the department, is located.
